These Terms of Service ("Terms") govern access to and use of the Cohera website, platform, software, AI recruiting tools, interview and assessment tools, scheduling tools, communications, and related services (collectively, the "Services").
The Services are operated by Belal Ahmed, doing business as Cohera AI, a sole proprietorship registered in British Columbia, Canada ("Cohera," "we," "us," or "our").
By accessing or using the Services, creating an account, participating in an interview, submitting information, or using any Cohera feature, you agree to these Terms.
If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "your" refer to both you and that organization.
If you do not agree to these Terms, you may not use the Services.
1. Definitions
For the purposes of these Terms:
"Account" means an account created to access or use the Services.
"Candidate" means an individual who applies for, is invited to, is identified through professional talent data sources for, or participates in a recruiting, screening, interview, assessment, or hiring workflow through Cohera.
"Customer" means an employer, recruiter, hiring manager, company, agency, or other organization that uses Cohera to support recruiting, screening, interviewing, or hiring workflows.
"Customer Data" means data, content, files, job descriptions, role requirements, candidate information, interview content, messages, recordings, transcripts, notes, evaluation criteria, and other information submitted to or processed through the Services by or on behalf of a Customer.
"User" means any person who accesses or uses the Services, including Customers, Candidates, administrators, hiring managers, recruiters, and website visitors.
"AI Output" means any output generated by Cohera's AI-assisted features, including summaries, transcripts, role descriptions, candidate profiles, interview questions, interview summaries, scores, rankings, recommendations, reports, or other generated content.
2. Cohera's Services
Cohera provides AI-assisted recruiting software that may help Customers:
- collect and structure role requirements;
- generate job descriptions and interview plans;
- source and identify Candidates from professional talent data sources, where sourcing features are enabled;
- invite Candidates to interviews or assessments;
- schedule interviews;
- conduct AI-assisted interviews and technical assessments (for example, coding, whiteboard, and system design assessments);
- transcribe, summarize, and analyze interviews;
- parse resumes and candidate profiles;
- compare Candidates against role requirements;
- generate candidate summaries, scores, rankings, recommendations, and hiring workflow reports;
- manage recruiting workflows.
Cohera is a software provider. Cohera is not an employer, recruiter of record, employment agency, staffing agency, background-check provider, legal advisor, or final hiring decision-maker unless expressly agreed in a separate written agreement.
Customers are responsible for their own recruiting, screening, interviewing, selection, rejection, hiring, employment, and compliance decisions.
3. Eligibility
You may use the Services only if you are legally able to enter into a binding agreement.
If you use the Services on behalf of a company, you represent and warrant that:
- you are authorized to act on behalf of that company;
- your company will comply with these Terms;
- all information you provide is accurate and current;
- your use of the Services complies with applicable laws.
The Services are not intended for children or individuals under the age of 16.
4. Accounts and Security
You may need an Account to access certain Services. You agree to:
- provide accurate and complete account information;
- keep your login credentials secure;
- promptly update inaccurate or outdated information;
- notify Cohera of any unauthorized access or suspected security incident;
- ensure that your authorized users comply with these Terms.
You are responsible for all activity that occurs under your Account, except to the extent caused by Cohera's breach of these Terms.
Cohera may suspend or restrict access to an Account if we reasonably believe that the Account has been compromised, used unlawfully, used in violation of these Terms, or used in a way that creates risk to Cohera, Candidates, Customers, or third parties.
5. Candidate Use of the Services
If you are a Candidate, you understand and agree that:
- Cohera may process information you submit as part of a recruiting, interview, assessment, or hiring workflow;
- interviews are conducted as video calls: you may be required to enable your camera, and your interview — including audio, your camera feed, transcripts, and any code, whiteboard, or design content you produce — may be recorded, transcribed, summarized, analyzed, or evaluated where disclosed to you or permitted by law;
- your information may be shared with the Customer associated with the role or opportunity;
- AI Outputs may be generated from your resume, profile, interview responses, assessment responses, or other submitted information;
- Customers, not Cohera, are responsible for final hiring decisions, interview outcomes, employment offers, rejections, and related communications.
You agree to provide accurate information and not to impersonate another person, submit misleading information, use unauthorized assistance, interfere with an assessment, or attempt to manipulate interview or evaluation results.
6. Customer Responsibilities
If you are a Customer, you are responsible for:
- obtaining all rights, permissions, notices, and consents required to use the Services;
- ensuring that your use of Cohera complies with applicable employment, labor, human rights, anti-discrimination, privacy, data protection, consumer protection, accessibility, and AI-related laws;
- deciding how to configure and use Cohera's recruiting workflows;
- reviewing AI Outputs before relying on them;
- making final hiring and employment decisions;
- communicating with Candidates about your recruiting process;
- ensuring that job requirements, evaluation criteria, and interview questions are lawful, relevant, fair, and job-related;
- avoiding unlawful discrimination or bias in recruiting and hiring decisions;
- responding to Candidate requests, complaints, appeals, or legal rights where you control the relevant Candidate information.
You may not use the Services to make unlawful employment decisions or to evaluate Candidates based on protected characteristics or other criteria prohibited by applicable law.
7. AI-Assisted Features and Hiring Decisions
Cohera's AI features are designed to assist, not replace, human judgment.
AI Outputs may be incomplete, inaccurate, inconsistent, biased, outdated, or inappropriate for a particular use case. You are responsible for reviewing and validating AI Outputs before using them.
You agree not to rely on AI Outputs as the sole basis for decisions that may significantly affect a Candidate, unless such use is lawful and appropriate under applicable law and you have provided any required notice, explanation, human review, appeal mechanism, consent, or other procedural protection.
Cohera does not guarantee that AI Outputs will identify the best Candidate, predict job performance, eliminate bias, comply with all hiring laws, or produce any particular hiring outcome.
Customers remain solely responsible for final decisions regarding:
- whether to invite a Candidate to interview;
- whether to advance or reject a Candidate;
- whether to make an employment offer;
- compensation, role level, or employment terms;
- all other hiring or employment decisions.
8. Recordings, Transcripts, and Interview Content
The Services may allow interviews, intake calls, assessments, or other sessions to be recorded, transcribed, summarized, analyzed, or stored. Interviews are conducted as video calls, and the recording may include the Candidate's audio and camera feed, chat messages, and any code, whiteboard, or design content produced during the session.
Customers are responsible for ensuring that Candidates receive any legally required notice and provide any legally required consent before recording, transcribing, or analyzing interviews or assessments. Cohera presents Candidates with a recording notice and consent step before interviews conducted through the Services begin.
Cohera may process recordings, transcripts, summaries, and related data to provide the Services, improve reliability, maintain security, troubleshoot issues, support Customers, and comply with applicable law and our Privacy Policy.
Customers are responsible for reviewing recordings, transcripts, and summaries for accuracy before relying on them.
9. Customer Data
As between Cohera and the Customer, the Customer owns Customer Data, subject to the rights and licenses granted to Cohera in these Terms.
You grant Cohera a limited, worldwide, non-exclusive license to host, store, copy, process, transmit, display, analyze, and use Customer Data as necessary to:

You represent and warrant that you have all rights, permissions, notices, and consents necessary to submit Customer Data to Cohera and permit Cohera to process it as described in these Terms.
10. Privacy
Your use of the Services is also governed by our Privacy Policy.
The Privacy Policy explains how Cohera collects, uses, discloses, stores, and protects personal information.
If there is a conflict between these Terms and the Privacy Policy regarding the handling of personal information, the Privacy Policy will control to the extent of that conflict.
11. Data Processing Addendum
If you are a Customer, Cohera's Data Processing Addendum ("DPA"), published at /dpa together with the current list of subprocessors, forms part of your agreement with Cohera (see section 8.2 of the Client Agreement) and governs Cohera's processing of candidate personal information on your behalf. Where your applicable law requires a signed data processing agreement, Cohera will countersign the DPA on request.

Cohera may offer free trials, pilots, previews, beta features, or experimental features.
These features may be limited, modified, suspended, or discontinued at any time. Beta or pilot features may be less reliable, may contain errors, and may not be covered by all support commitments.
Unless otherwise agreed in writing, free trials, pilots, and beta features are provided "as is" and without warranties.
16. Service Availability

Cohera is not responsible for delays, failures, or damages caused by third-party services, networks, APIs, hosting providers, AI model providers, transcription providers, calendar providers, email providers, payment processors, or other external systems.
17. Third-Party Services and Integrations
The Services may integrate with third-party products or services, such as calendar providers, email providers, applicant tracking systems, voice providers, transcription providers, AI model providers, talent data providers, cloud hosting providers, analytics tools, or payment processors.
Your use of third-party services may be subject to separate terms and privacy policies. Cohera does not control and is not responsible for third-party services.
Cohera may add, remove, suspend, or modify integrations at any time.
18. Intellectual Property
Cohera and its licensors own all rights, title, and interest in and to the Services, including software, workflows, designs, interfaces, models, prompts, systems, documentation, trademarks, logos, and other intellectual property.
These Terms do not grant you any ownership rights in the Services.
